Item 7.01.    Regulation FD Disclosure

In conjunction with the notes offering described below, Cimpress N.V. ("Cimpress") expects to amend its credit facility to increase the size of the revolver to about $840 million, lower the interest rate spread to LIBOR plus 1.375% to 2.0% depending on leverage, and increase the total leverage covenant by 0.25 times trailing twelve month EBITDA. The senior secured covenant is expected to remain at 3.25 times trailing twelve month EBITDA. We expect to close this transaction on or about the date of the notes issuance.


Item 8.01.    Other Events

On June 1, 2018, Cimpress priced its previously announced private offering of $400.0 million in aggregate principal amount of 7.0% senior notes due 2026 (the "notes"). The notes will pay interest on a semi-annual basis. The price to investors will be 100% of the principal amount of the notes. The issuance of the notes is expected to close on June 15, 2018, subject to customary closing conditions.

The notes are being sold in a private placement to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”) and to non-U.S. persons outside the United States under Regulation S under the Securities Act.

The press release announcing the pricing of the offering is attached to this Current Report on Form 8-K as Exhibit 99.1 and is incorporated herein by reference.

Cimpress Prices Offering of Senior Notes

Venlo, the Netherlands, June 1, 2018 -- Cimpress N.V. (Nasdaq: CMPR) today announced it has priced the previously announced private offering of $400.0 million in aggregate principal amount of 7.0% senior notes due 2026 (the "notes"). The notes will pay interest on a semi-annual basis. The price to investors will be 100% of the principal amount of the notes. The issuance of the notes is expected to close on June 15, 2018, subject to customary closing conditions.

We intend to use the net proceeds of this offering to fund the redemption of all of our existing senior notes due 2022 and the satisfaction and discharge of the indenture governing the existing senior notes, repay indebtedness outstanding under our revolving credit facility, and to fund the payment of all related fees and expenses.

The notes have not been registered under the Securities Act of 1933, as amended (the “Securities Act”), and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements of the Securities Act, and other applicable securities laws. Within the United States, the notes will only be offered to investors who are “qualified institutional buyers,” as defined in Rule 144A under the Securities Act. Outside the United States, the notes will only be offered to investors who are persons other than “U.S. persons,” as defined in Rule 902 under the Securities Act, in offshore transactions in reliance upon Regulation S under the Securities Act.
